1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Peladang Tech platform (the "Platform") operated by Peladang Tech ("Peladang", "we", "us", or "our"), a company registered in Malaysia, accessible at peladang.tech.

By registering for an account, accessing, or using the Platform, you ("User") agree to be bound by these Terms. If you are accessing the Platform on behalf of a business or organisation (the "Tenant"), you represent that you have the authority to bind that organisation to these Terms, and references to "you" shall include both you and the Tenant.

If you do not agree to these Terms, you must immediately cease using the Platform.

3.1 Account Creation

To access the Platform, the Tenant must register an account by providing accurate, complete, and up-to-date information. You agree to update your account information promptly if it changes. Peladang reserves the right to reject or suspend any account registration that contains inaccurate or misleading information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

3.3 User Roles and Permissions

The Platform uses a role-based access control system. Tenant administrators are responsible for assigning appropriate roles to Users within their organisation and for ensuring that access rights are kept up to date, including revoking access when a User leaves the organisation.

4. Subscriptions and Payments

4.1 Subscription Plans

Peladang offers multiple subscription plans with varying levels of access to farms, plots, and Users. Details of available plans and current pricing (in Malaysian Ringgit, RM) are published on the Platform and may be updated from time to time.

4.2 Billing and Payment

By subscribing to a paid plan, you authorise Peladang (or its payment processor) to charge the applicable fees to your chosen payment method on the agreed billing cycle (monthly or annually). All fees are non-refundable except as expressly stated in Section 4.5 or as required by law.

4.3 Price Changes

Peladang reserves the right to modify subscription pricing. We will provide at least 30 days' notice of any price increases by email and through the Platform. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.

4.4 Taxes

All prices are exclusive of applicable taxes. You are responsible for paying all applicable taxes (including Sales and Service Tax in Malaysia, where applicable) in addition to the subscription fees.

5. Acceptable Use

5.1 Permitted Use

The Platform is licensed to you for lawful agricultural management purposes only. You agree to use the Platform solely for the purposes described in these Terms and in accordance with all applicable laws.

6. User Content

6.1 Ownership

You retain ownership of all User Content that you submit to the Platform. By submitting User Content, you grant Peladang a non-exclusive, worldwide, royalty-free licence to store, process, and display your User Content solely as necessary to provide the Service.

6.2 Your Responsibility

You are solely responsible for the accuracy, quality, and legality of all User Content you submit. You represent and warrant that:

Peladang may use anonymised and aggregated data derived from User Content and Platform usage to generate industry benchmarks and improve the Platform. Such aggregated data will not identify you or your Tenant individually.

7. Intellectual Property

All intellectual property rights in the Platform, including its software, design, trademarks, logos, and documentation, are owned by or licensed to Peladang. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited licence to use it as described herein.

The name "Peladang", the Peladang Tech name, and all associated logos are trademarks of Peladang Tech. You may not use these marks without our prior written consent.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

9. Third-Party Services and Integrations

The Platform may integrate with or link to third-party services, including weather data providers, mapping services, and payment processors. Peladang is not responsible for the availability, accuracy, or content of third-party services. Your use of any third-party service is subject to that service's own terms and privacy policy.

10. Disclaimers and Limitation of Liability

10.1 No Warranty

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PELADANG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Agricultural Advice Disclaimer

The disease risk scores, AI-powered advisories, weather forecasts, and other agricultural recommendations provided by the Platform are for informational purposes only. They do not constitute professional agronomic advice and should not be relied upon as the sole basis for agricultural decisions. You are solely responsible for the management of your farming operations.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PELADANG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, CROP LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF PELADANG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Peladang's total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you to Peladang in the 3-month period immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Peladang, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

12.1 By Peladang

Peladang reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, if:

You may terminate your account at any time by cancelling your subscription and submitting a written request to support@peladang.tech. Upon termination, your right to access the Platform will cease immediately, subject to any remaining billing period.

12.3 Effect of Termination

Upon termination of your account, all licences granted under these Terms will immediately terminate. Peladang will retain your data for 90 days post-termination to allow for data export requests, after which it will be permanently deleted.

13. Modifications to the Platform and Terms

Peladang reserves the right to modify, update, or discontinue any part of the Platform at any time. We will endeavour to provide reasonable notice of significant changes.

We may also update these Terms from time to time. We will notify you of material changes by email and by updating the effective date at the top of this document. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the courts of Malaysia, which shall have exclusive jurisdiction, unless otherwise required by applicable consumer protection laws in your jurisdiction.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Subscription Order, constitute the entire agreement between you and Peladang with respect to the Platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15.3 Waiver

Peladang's failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Peladang's prior written consent. Peladang may assign its rights and obligations without restriction.

15.5 Force Majeure

Peladang shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, acts of government, power failures, internet outages, or pandemics.
